Terms of Use

These Terms of Use ("Terms") govern access to and use of the Moyava Clinical public website and services provided by Moyava Health LLC ("Moyava Health," "we," "us," or "our"). By accessing or using Moyava Clinical, you agree to these Terms.

1. Moyava Clinical services

Moyava Clinical provides educational and communication tools for healthcare organizations, clinicians, authorized staff, patients, parents, legal guardians, and caregivers. Features may be introduced, changed, suspended, or discontinued over time.

2. No medical advice or emergency service

Moyava Clinical does not provide medical advice, diagnosis, treatment, emergency care, or establish a doctor-patient relationship with Moyava Health LLC. Educational materials do not replace the judgment or instructions of a licensed healthcare professional.

Do not use Moyava Clinical to seek emergency assistance. Call 911 or the appropriate emergency service for an emergency. Contact the treating clinic for medical questions.

3. Clinic responsibility

Healthcare organizations and authorized users are responsible for:

• Selecting and approving materials appropriate for the intended recipient;
• Confirming recipient contact information;
• Presenting the Moyava Clinical consent disclosure accurately and allowing the recipient or authorized representative to make the SMS selection without coercion;
• Using Moyava Clinical in accordance with applicable law, professional duties, clinic policies, and agreements;
• Maintaining the confidentiality of account credentials; and
• Responding to patients' and families' medical questions.

4. Patient and representative responsibility

Patients, parents, legal guardians, and caregivers should follow the instructions of the treating clinician. If Moyava Clinical content conflicts with direct instructions from the treating clinician, contact that clinician for clarification.

5. Acceptable use

You may not use Moyava Clinical to:

• Violate any law, regulation, contractual duty, or another person's rights;
• Access information without authorization;
• Impersonate a clinic, clinician, staff member, recipient, or another person;
• Introduce malicious code, interfere with security, or probe the service for vulnerabilities without written authorization;
• Send unlawful, deceptive, harassing, promotional, or unsolicited messages;
• Upload or distribute content you do not have the right to use; or
• Use Moyava Clinical for emergencies.

6. Accounts and security

Authorized clinic features may require an account and multi-factor authentication. Users must provide accurate information, protect credentials, and promptly report suspected unauthorized access. We may suspend access when reasonably necessary to protect users, clinics, recipients, or the service.

7. Intellectual property

Moyava Clinical, its branding, software, design, and original content are owned by or licensed to Moyava Health LLC and are protected by applicable intellectual-property laws. Except as expressly permitted, no rights are granted to copy, modify, distribute, sell, or create derivative works from Moyava Clinical.

8. Third-party services

Moyava Clinical may rely on third-party hosting, communications, authentication, or other service providers. We are not responsible for third-party services outside our control, except as required by law or contract.

9. Availability and changes

We work to provide a reliable service but do not guarantee uninterrupted or error-free availability. Features may change and may not be suitable for every workflow.

10. Disclaimers

To the fullest extent permitted by law, Moyava Clinical is provided on an "as is" and "as available" basis. We disclaim warranties not expressly provided in a written agreement, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

11. Limitation of liability

To the fullest extent permitted by law, Moyava Health LLC will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of data, revenue, profits, or goodwill arising from use of or inability to use Moyava Clinical. Any additional liability terms in a signed agreement with a clinic control for that clinic.

Some jurisdictions do not allow certain exclusions or limitations, so some provisions may not apply.

12. Termination

We may suspend or terminate access when these Terms are violated or when reasonably necessary for security, legal compliance, or protection of users and the service. Obligations that by their nature should survive termination will survive.

13. Governing law

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law rules, except where applicable law requires otherwise.

14. Changes to these Terms

We may update these Terms. The updated version will be posted with a revised effective date. Continued use after an update constitutes acceptance to the extent permitted by law.
